Terms and Conditions of Sale

Order Acceptance:
All orders are subject to acceptance by Naturally Durable, Inc, Santa Fe, New Mexico. No terms or conditions other than listed in purchase order confirmations will be accepted by Naturally Durable, Inc, unless confirmed in writing.

Prices:
Prices are subject to change without notice. All quotations are binding for immediate acceptance, unless otherwise specified.

Terms:
Standard inventory to credit approved customers 2% 10 days, Net 30. Custom orders require a 50% deposit on labor and materials with the balance COD. Partial shipments allowed and subject to COD payment. Freight charges will be included in the COD billing.

Taxes:
No local or state, or federal taxes are included in bid / quote prices. Responsibility for applicable taxes remains with the buyer.

Delivery:
Delivery dates are calculated from purchase order acceptance and receipt of deposit date. Naturally Durable, Inc will provide timely updates describing work in process, shipping arrangements, import circumstances. Naturally Durable, Inc shall not be liable for any delivery delays or failures due to acts of God, labor disturbances, accidents, fire, flood and other extreme weather conditions or failures to deliver by suppliers beyond the control of Naturally Durable, Inc.

Freight:
All shipments are FOB location indicated on accepted purchase order. Our bill of lading is acknowledgement by the transportation company accepting shipment in good condition. Responsibility for the shipment is that of the carrier. Any claims for damage or shortage must be itemized the same day as the receipt of the shipment, and the customer must make any claim to the delivering carrier. Naturally Durable, Inc will assist with the claims process in favor of the customer.

Returned goods:
Standard inventory items are subject a 25% restocking charge and must be returned in like new condition. Buyer is responsible for freight charges. Custom orders are not accepted as returns for credit.

Warranty:
Naturally Durable, Inc expressly warrants that all products are free from defects and workmanship for a period of twelve months from date of original invoice. Wood is a natural product with color variations. Color is not warranted. This warranty is limited to the repair and replacement of products or parts to be found defective as determined by Naturally Durable, Inc. any field modifications will void the warranty. No labor back charges for installation, repair, or modification of products will be accepted. NATURALLY DURABLE, INC disclaims all implied warranties in cases involving equipment or products used in manufacturing contracted products including the warranty of merchantability and warranty of fitness for a particular purpose. In no event shall Naturally Durable, Inc be liable for incidental, consequential, or special damages. Wood is a natural product with color variations. No other warranties are made.

Arbitration to settle disputes:
Any and all disputes shall be resolved by binding arbitration in accordance with the rules of The American Arbitration Association. Venue for any arbitration proceeding shall be in Santa Fe County, New Mexico.
